Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Shop1 dealership management platform and related services (the "Service") operated by Shop1 ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are authorized to act on behalf of the dealership or business you are representing, that you are at least 18 years old, and that you agree to these Terms and our Privacy Policy.

2. Description of Service

Shop1 provides a cloud-based business management platform for dealerships, including tools for service and work order management, parts inventory, invoicing, CRM, unit inventory, warranty tracking, payroll summaries, reporting, and related features. The specific features available to you depend on your subscription plan.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@shop1.co of any unauthorized use of your account. We are not liable for losses resulting from unauthorized access due to your failure to protect your credentials.

You may configure role-based access for your employees within the platform. You are responsible for the actions of all users you authorize under your account.

4. Subscription, Billing, and Cancellation

Shop1 is offered on a subscription basis. Fees are billed in advance on a monthly or annual cycle depending on your plan. All fees are non-refundable except as required by law or as explicitly stated in your plan agreement.

You may cancel your subscription at any time. Upon cancellation, your account will remain active through the end of the current billing period. After that, access will be suspended. You may export your data during the active period.

We reserve the right to change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

5. Your Data

You own all data you enter into Shop1, including customer records, work orders, invoices, and inventory data. We do not claim ownership of your business data. You grant us a limited license to store and process that data solely to provide the Service to you.

You are responsible for ensuring that your use of Shop1 complies with applicable laws, including data privacy regulations governing the customer and employee data you store in the platform.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Resell or sublicense access to the Service without our written permission
  • Upload or transmit malicious code, spam, or content that infringes on third-party rights
  • Interfere with the performance or availability of the Service for other users

7. Service Availability and Maintenance

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, upgrades, or emergency fixes at any time. We will make reasonable efforts to notify you of planned downtime in advance.

8. Intellectual Property

The Shop1 platform, including its software, design, trademarks, and content, is owned by us and protected by intellectual property law. Nothing in these Terms grants you any rights in the platform itself beyond the limited right to use it for your business purposes during an active subscription.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the Service will be error-free, uninterrupted, or suitable for any particular purpose. Financial reports, inventory counts, and other outputs from the platform are based on the data you enter — we are not responsible for inaccuracies arising from incorrect data entry.

10. Limitation of Liability

To the maximum extent permitted by law, Shop1's total liability to you for any claim arising from your use of the Service shall not exceed the total fees you paid in the 12 months preceding the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Shop1 and its employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.

12. Termination

We may suspend or terminate your access to the Service immediately if you violate these Terms, fail to pay amounts owed, or if required by law. Upon termination, you may request a data export within 30 days. After that period, we may delete your data.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance.
